Mission Statement
The Mission of Central IL A.B.A.T.E. (A Brotherhood Aimed Towards Education) is to preserve the universal right to a safe, unrestricted motorcycling environment.
To fulfill this mission we will:
1. Safeguard the rights of Illinois motorcyclists.
2. Promote motorcycling enjoyment.
3. Endorse motorcycle safety and education programs.
4. Advocate Political Awareness and Activism.
5. Promote Unity through involvements in charitable events.

I. Purpose of Central Illinois A.B.A.T.E., Inc.
(A Brotherhood Aimed Toward Education)A.
Central Illinois A.B.A.T.E., Inc. is organized under the State of Illinois laws as a Not for Profit Corporation and shall conduct business in accordance with those laws.B.
The Purpose of Central Illinois A.B.A.T.E., Inc. is to educate the general public, riders, and drivers of motorcycles of benefits, awareness, and safety relating to the operation of motorcycles, to engage in charitable and benefit work, and to advocate fair motorcycle legislation.II. Corporate Office
A. The Registered Office and Registered Agent of the Corporation shall be maintained by Paula Ward at: 311 east main street, suite 418, Galesburg, IL 61401
B.
The Business Address of the Corporation shall be P.O. Box 1084, Galesburg, Illinois 61402-1084.C.
Auxiliary Offices may be established within the region covered by the Corporation as deemed necessary by the Board of Directors.III. Membership
A. Any person who meets the Membership Requirements as set forth by the Board of Directors of Central Illinois A.B.A.T.E., Inc., may become a Member of Central Illinois A.B.A.T.E., Inc.
1.
Must be 18 years of age.2.
Must fill out and sign an application, and submit with the required amount of dues to the Membership Coordinator.3.
Must abide by the By-Laws of the Corporation.4.
Does not have to be a registered voter, but is encouraged to become a voter.5.
Does not have to own a motorcycle.B.
Membership in Central Illinois A.B.A.T.E., Inc. may be terminated, after a Hearing at a General Membership Meeting with a 2/3 Majority vote of the members present.C.
Membership in Central Illinois A.B.A.T.E., Inc. is not transferable to another person.D.
Continued Membership in Central Illinois A.B.A.T.E., Inc. is dependent upon payment of Dues, which are payable by the last day of the month in which they become due. A person must be a member in good standing in order to participate in a General Membership Meeting.E.
Any new member must wait 30 days after joining Central Illinois A.B.A.T.E., Inc. to be granted voting privileges.IV. Board of Directors
A. All Business of the Corporation will be conducted by the Board of Directors with guidance from the membership through Monthly General Membership Meetings.
B.
The Board of Directors shall consist of the President, Vice-President, Secretary, Treasurer, Membership Coordinator, Activities Coordinator, (2) State Board Delegates, Legislative Coordinator, Public Relations Coordinator, Safety & Education Coordinator, Special Event Coordinator, and the Sgt at Arms.1.
If a person should hold more than one elected position on the Board of Directors, (Activity Coordinator and State Board Delegate, for example) they will only be entitled to one vote on the Board of Directors.C.
A Member of the Board of Directors may be removed from office after a hearing at a General Membership Meeting with a 2/3 Majority Vote of the members present.D.
Members of the Board of Directors will not receive a salary for their services, but may be reimbursed for necessary expenses in connection with their duties.E.
Meetings of the Board of Directors will normally be during the preceding week before the monthly General Membership Meeting, at a time of their choosing, or at any other time deemed necessary by the President or three Board of Directors Members. A quorum of five Board of Directors Members is necessary to conduct Business. A "Phone-Tree" will be used to inform Board of Directors Members of any special meeting time and place.F.
The members attending the monthly General Membership Meeting shall be informed when a Board of Directors Meeting has been held and copies of the Minutes of that Meeting will be available to the membership at the General Membership Meeting.V. Executive Officers
A.
The President shall preside over all Central Illinois A.B.A.T.E., Inc. Meetings, supervise and control Corporation Business, and be a member of any Special Events Committee.B.
The Vice-President shall assist the President in the performance of his or her duties, and shall preside over Central Illinois A.B.A.T.E., Inc. Meetings in the absence of the President.C.
The Secretary shall keep Minutes of all Central Illinois A.B.A.T.E., Inc. Meetings and shall make copies available to the Membership at the following General Membership Meeting for their approval; keep an up-to-date membership mailing roster; maintain the website with uploading meeting and event information along with any other information that may be appropriate; any other duties required by the Board of Directors or the membership, and write an article for the ABATE of IL Paper.D.
The Treasurer will be responsible for all monies collected by the Corporation; for filing the necessary forms with the IRS for taxes and Not-for-profit status; and forwarding Combination Membership applications and dues to the A.B.A.T.E. of Illinois, Inc. State Office. The Treasurer shall set up the Corporation's Financial Accounts in a manner that requires two signatures on all checks or withdrawals, with the President or the Membership Coordinator being the second signature. The Treasurer shall report all expenditures and receipts to the membership at the monthly General Membership Meetings.E.
The Membership Coordinator will be in charge of all membership acquisitions; will inform the Secretary of any Member or address changes; keep a ledger for members to sign at General Membership Meetings to prove attendance; keep an accountant’s 12 column record book for keeping track of the members yearly attendance, with awards being given at the Appreciation Party for those having perfect attendance in the past year(s); to assist the Treasurer as is necessary. The Combination Membership Applications will be turned in to the Treasurer on a weekly basis.F.
Executive Officers will be elected in January of each year ending in an odd number.G.
A member must be in good standing in Central Illinois A.B.A.T.E., Inc. for 1 year in order to run for Executive Officer positions of Central Illinois A.B.A.T.E., Inc..H.
More than one person holding an Executive officer position, per household, is prohibited from both being on the chapter’s checking account.VI. Activities Coordinator
A.
One person will perform the duties of Activities Coordinator. Term of Office will be 1 year, to be elected in January of each year.B.
Duties will include organizing the events of Central Illinois A.B.A.T.E., Inc. and getting the necessary committees established. All Central Illinois A.B.A.T.E., Inc. events will be brought to the General Membership Meeting for approval.VII. A.B.A.T.E. of Illinois, Inc. State Board Delegates
A.
Two persons will be elected to represent Central Illinois A.B.A.T.E., Inc. at the A.B.A.T.E. of Illinois, Inc. State Board Meetings, with staggered elections so that one person is elected in January each year. Term of office is 2 years.B.
The Delegates will have the responsibility to vote on behalf of Central Illinois A.B.A.T.E., Inc. without seeking prior approval from the Membership.C.
One of the Delegates shall report to the Membership at a General Membership Meeting after an A.B.A.T.E. of Illinois, Inc. State Board Meeting has been held.VIII. Legislative Coordinator
A.
One person will be elected in January of each year whose duty it will be to inform the membership of legislative issues and to attend any meetings and seminars necessary to fulfill that duty.IX. Public Relations Coordinator
A.
One person will be elected in January of each year whose duties will include promoting the goals and programs of Central Illinois A.B.A.T.E., Inc. to the general public; to coordinate the annual motorcycle awareness campaign during the month of May.X. Safety & Education Coordinator
A.
One person will person will perform the duties of Safety & Education Coordinator. Term of office will be for 2 years, to be elected in January of each year ending in an even year. Whose duties will include promoting Safety in the operation of motorcycles; to coordinate safety presentations to other community groups, by themselves or other volunteers from the membership.XI. ABATE Products Coordinator
A.
This position eliminated by membership vote on 11/10/2007XII. Special Event Coordinator
A.
One person will be elected in January of each year whose duties will include all contacts with Bands, Vendors, Charities, and Suppliers. Membership approval is needed for all Charity Event operating procedures. They will be the Chairperson of the Special Event Committee, which will include, but is not limited to, all Board of Directors Members, whose task it will be to make suggestions to the membership on the operating procedures needed in any charity event operation. Events other than the Annual Central IL A.B.A.T.E. Bash must be brought to the membership for approval.XIII. Sgt at Arms
A.
One person will be elected in January of each year whose duties will include the set-up, tear-down, and maintenance of the meeting room. They will be expected to greet members at the door and make them feel welcome. They will be in charge of finding meeting rooms when needed.XIV. Attendance and Elections
A.
Members of the Board of Directors and all other members of Central Illinois A.B.A.T.E., Inc. should be present at all meetings and events.B.
A Member of the Board of Directors shall miss no more than 4 (four) General Membership Meetings within a Year's time and upon missing 3 (three) General Membership Meetings in succession, shall have their office automatically declared vacant with nominations and election of a replacement to be held in accordance with these By-laws. An excused absence, which must be requested in writing, may be granted by the Membership at a General Membership Meeting.C.

Nominations for elected offices will be held during the December General Membership Meeting, with voting by secret ballot at the January General Membership Meeting. Nominations will not require a second. A letter of acceptance of nomination will be allowed. There will be no absentee ballots issued. If there are no nominations for an office, the Board of Directors will appoint someone to hold that office until the next regularly scheduled election is held for that office.E.
If any Board of Directors Member should leave their position for any reason, the remaining Board of Directors will appoint someone to temporarily fill that position until an election can be held (within 60 days).XV. Limitation of Liability
A.
No member of the Corporation shall be personally liable for the debts or obligations of Central Illinois A.B.A.T.E., Inc.B.
If one or more of the Directors of the Corporation should enter into a legal contract or cause any other written or oral agreements to be made, without the remaining Directors having knowledge that the contracts/agreements had been entered into, only those Directors causing the contracts/agreements to be entered into will be held liable for any legal actions that may be brought against the Corporation as a result of these contracts/agreements.XVI. Amendments to these Bylaws
A.
Any member in good standing may submit a proposed change, in writing, to the secretary at the start of the General Membership Meeting, with the date and signature of the person submitting the change.B.
The Secretary will read the proposed change to the membership during the meeting, but no voting action or discussion on the change will be allowed. Voting and discussion will be during the next regularly scheduled general membership meeting, during the bylaw report, to allow members to be aware of the proposed change by notification in the newsletterC.
All proposed changes will include the Article number and/or the paragraph letter which is being changed or added to.D.
A 2/3 vote of the members present will be sufficient for passage of a proposed change.XVII. Miscellaneous Provisions
A.
Authority to enforce these Bylaws and for any item not covered herein shall be vested solely in the Board of Directors.B.
In the event that Central Illinois A.B.A.T.E., Inc. is dissolved, all assets after the payment of all debts payable by the Corporation shall be given to a Title 501(C)4 Organization, which has similar stated purposes of this Corporation, to be determined by the existing Board of Directors at the time of dissolution.XVIII. Effective Date
A.
These Bylaws are effective immediately upon their adoption.XIX. Dues
A.
Combination Membership Dues, set by A.B.A.T.E. of Illinois, Inc. currently is set at $25 for a single Combination Membership, or $45 for a couple’s Combination Membership. Central Illinois A.B.A.T.E., Inc. will retain only $3 of each Combination Member’s dues with the balance being paid to A.B.A.T.E. Of Illinois, Inc.XX. Affiliation with A.B.A.T.E. of Illinois, Inc.
A.
Central Illinois A.B.A.T.E., Inc. agrees to contribute to A.B.A.T.E. of Illinois, Inc. a portion of the Combination Dues monies in exchange for a seat on the A.B.A.T.E. of Illinois Board of Directors, a monthly newsletter, and access to a statewide information network. This affiliation is perpetual until such time that the membership of Central Illinois A.B.A.T.E., Inc. decides that the goals and actions of A.B.A.T.E. of Illinois, Inc. no longer serve the best interests of the membership of Central Illinois A.B.A.T.E., Inc.B.
This affiliation does not give A.B.A.T.E. of Illinois, Inc. any authority to intervene in the operation of Central Illinois A.B.A.T.E., Inc.C.
If Disaffiliation with A.B.A.T.E. of Illinois, Inc. is desired by the membership of Central Illinois A.B.A.T.E., Inc., the Board of Directors shall set a time and place for a special membership meeting to discuss and vote on that issue. All members in good standing in Central Illinois A.B.A.T.E., Inc. will be notified by mail at least two (2) weeks prior to the special meeting. A 2/3 majority vote of qualified members present at that meeting will be required for disaffiliation to be enacted.D.
The Board of Directors of Central Illinois A.B.A.T.E., Inc., cannot surrender the State of Illinois Articles of Incorporation Charter of Central Illinois A.B.A.T.E., Inc., to A.B.A.T.E. of Illinois, Inc., or any other organization, without a 2/3 majority vote of authorization from the membership of Central Illinois A.B.A.T.E., Inc.End of By-Law Document
Statement of name ownership
Central Illinois A.B.A.T.E., Inc. retains all rights to the name A.B.A.T.E., as an acronym for “A Brotherhood Aimed Toward Education”. This Corporation, formed on July 29, 1985, has the original and first use of this name as a Corporation in the State of Illinois. A.B.A.T.E. Of Illinois, Inc., formed on June 5, 1987, and other similar Corporations were allowed to use the name without objection from Central Illinois A.B.A.T.E., Inc., but the ownership of the name was not transferred.

Standard Operating Procedures:
1.
General Membership Meetings open to all members of Central Illinois ABATE will be scheduled on a monthly basis by the Board of Directors, with membership approval on the date and place. The targeted day is the second Sunday of the month, with revision as necessary to avoid conflicts.2.
The members may, from time to time, grant lifetime memberships to those members of Central Illinois ABATE who have unselfishly given of themselves to promote the organization and its goals beyond the normal expectations of a member. The Treasurer will be responsible for paying the amount of dues payable to ABATE of Illinois at the time that the "LIFE" member’s combination membership dues become due.3.
All combination membership applications gathered through the Chapter will be routed through the Membership Coordinator before being turned in to the State Office. The Membership Coordinator and Treasurer will meet once each week, on a day of their choice, to process any pending applications for forwarding to the State Office. (Instituted on 07-30-92)4.
Profits from all events, except charity benefits, will have 10% deducted from the net proceeds and placed in our Motorcycle Safety Fund (enacted by membership vote on 11/11/95) (Revised by membership vote on 11/17/2009).5.
A Membership Meeting Attendance Contest will be held each year beginning with the January Membership Meeting and ending at the August Membership Meeting. All Central IL ABATE Members in good standing that sign the membership book, for proof that they have attended all eight of the meetings, will be allowed free entry into the Annual A.B.A.T.E. Bash. Excused absences are not allowed for this contest, but being away on ABATE business will be allowed and their name will be entered into the book by the Membership Coordinator or President for the meeting they missed and initialed by the Membership Coordinator or President. (Enacted by membership vote on 11/11/06).6.
The treasurer will provide a printed financial statement quarterly and after the annual bash is held to the membership attending the meetings. (A printed yearly financial statement is required by law to be available to the membership) Enacted 12/20077.
The only approved charities are D.I.G.I.T. Disabled Individuals Getting in Touch; Galesburg Youth Athletic Club; The third charity will alternate each year Fed Pac (odd years) and Abate Pac (even years), and all will share equally in any fundraising efforts that Central IL A.B.A.T.E. sponsors on their behalf. Enacted 3/2008 & amended 5/2011.8.
After payment of all debts incurred to sponsor the Central IL A.B.A.T.E. Bash, including the prepayment of renting the location for next years event, with the required insurance policy payments (Dram shop, event liability, product liability), the members of Central IL A.B.A.T.E. will determine the distribution of the proceeds raised, with a minimum of 10% of the net proceeds kept by Central IL A.B.A.T.E. general fund, for sponsoring the event. Enacted 3/2008.9.
Vendor fees at the Bash in august to be set at $50 per vendor spot and their own health permit cost. Enacted 9/08 & amended on 3/2009.10.
